1. Acceptance of Terms and Effective Date
These Terms of Service (the "Terms") constitute a legally binding agreement between you (either an individual or a single legal entity) and LogKit, Inc. (the "Company") governing your use of the LogKit SDK, the LogKit web-based observability platform (collectively, the "Service"). By accessing, installing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.
The effective date of these Terms is January 15, 2024 ("Effective Date"). The Company reserves the right to modify these Terms at any time. Continued use of the Service after such modifications constitutes your acceptance of the updated Terms.
2. Description of the LogKit Service
The LogKit Service provides a suite of tools for backend engineering teams to instrument applications with structured logging and visualize those logs in real-time. The Service consists of two primary components:
- The LogKit SDK: A collection of software libraries and documentation that allow developers to emit structured, typed log events from their applications. The SDK is open-source and subject to the MIT license, independent of these Terms.
- The LogKit Platform: A hosted web application (accessible at app.logkit.io) that ingests log events from the SDK, indexes them, and provides querying, alerting, and dashboarding capabilities.
The Company makes no warranties, express or implied, regarding the uptime, latency, or availability of the Platform, except as explicitly stated in the Service Level Agreement section below.
3. Account Registration and Responsibilities
To access the full features of the LogKit Platform, you must register for an account. You represent and warrant that:
- All information you provide during registration is accurate, complete, and current.
- You are at least 18 years old or have the consent of a parent or guardian.
- You will not assign or transfer your account to another party without the prior written consent of the Company.
You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify the Company immediately of any unauthorized use of your account or any other breach of security. The Company shall not be liable for any losses or damage arising out of your failure to maintain the confidentiality of your credentials.
4. Acceptable Use Policy
While using the LogKit Service, you agree not to:
- Violate any applicable local, state, national, or international law or regulation.
- Engage in any activity that could damage, disable, overburden, or impair the Service or interfere with other users' enjoyment of the Service.
- Attempt to reverse engineer, decompile, or disassemble the SDK or Platform software, unless legally permitted to do so.
- Use the Service for any illegal purpose, including but not limited to fraud, phishing, or distributing malware.
- Scrape or harvest data from the Service without express written permission.
5. Subscription, Billing, and Cancellation Terms
The Service is offered under a subscription model. Current pricing plans (e.g., "Starter," "Pro," "Enterprise") are available at logkit.io/pricing. All fees are exclusive of taxes unless otherwise indicated.
Payment: You agree to pay the fees associated with your selected plan. Payment is due monthly or annually, as selected at checkout. We reserve the right to modify prices with thirty (30) days' notice via email or through your account dashboard.
Refunds: We offer a thirty (30) day money-back guarantee for new subscriptions. After this period, refunds are generally not provided except in cases where the Service is not provided as described in these Terms.
Cancellation: You may cancel your subscription at any time from your account settings. Upon cancellation, your access to the Platform will continue until the end of your current billing cycle. Log data retention policies will apply; data may be retained for up to 30 days after cancellation for account recovery purposes.
6. Intellectual Property Ownership
LogKit, Inc. owns all right, title, and interest in and to the LogKit SDK and the Platform software, including all associated intellectual property rights. The SDK code is provided under the MIT License, allowing you to use, copy, modify, and distribute it freely in your own projects. However, the underlying SaaS platform, data models, and proprietary query logic remain the exclusive property of LogKit.
You retain ownership of any data you input into the Service, as further clarified in Section 7.
7. Data Ownership
Crucially, LogKit does not own your log data. You retain full ownership of all data, logs, and information you upload, transmit, or store through the Service. This includes source code traces, error messages, and user behavior logs.
By using the Service, you grant LogKit a limited, non-exclusive, worldwide license solely to (a) provide the Service to you, (b) process your data to render logs, dashboards, and analytics, and (c) transfer your data to compliant storage locations to fulfill your service requirements. LogKit does not resell your data to third parties for marketing purposes without your explicit consent.
8. Limitation of Liability and Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
In no event shall LogKit, its directors, officers, employees, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage.
The total liability of LogKit to you for all claims arising out of or related to these Terms or the Service shall not exceed the amount you paid in the twelve (12) months prior to the claim.
9. Dispute Resolution and Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
Any dispute arising out of or relating to these Terms or the Service shall be settled by binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. You and the Company hereby waive any right to a trial by jury and to file a class action. Judgment upon the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.
10. Changes to Terms Notification Policy
We reserve the right to update these Terms at any time. We will notify users of significant changes by posting the new Terms on this page, sending an email to the primary contact associated with the account, or displaying a prominent notice within the Platform interface.
Your continued use of the Service following the posting of revised Terms constitutes your acceptance of those changes. If you do not agree to the revised Terms, you must terminate your use of the Service.
